COMPLIANCE POLICY

Compliance Function of the Banque Populaire Group

With reference to the best practices and recommendations of Directive No. 49/G of the Al-Maghrib Bank, the Group established a Compliance Function at the beginning of 2007 with the main mission of permanent control of last resort for application of the laws, regulations and standards in force, in order to strengthen its system of governance and market confidence, and to establish its development process both on the domestic market and on the international market.
The scope of this function covers four main activities: regulatory compliance, ethics and governance, anti-money laundering and due diligence, and supervision of the Group’s internal control system.
As such, the Management Committee of the CPM has adopted the Banque Populaire Group’s Compliance Charter, which represents the operating framework of this activity for the Group’s bodies and entities as well as the principles of the compliance policy and the dedicated operational mechanisms.

Promotion of Professional Ethics

The Banque Populaire Group occupies a leading position in the national banking sector, with its institutional values of citizenship and solidarity, and thanks to its renewed performance justifies a high level of professionalism and ethics in its interpersonal skills and the quality of its governance. In particular, ethical dimensions explain the Group's achievements and form the true basis of its future development. Universal values such as integrity, loyalty, professionalism and quality are the benchmarks for our organisation and for our day-to-day management.

These values are enriched by values specific to the banking sector and mutual organisations, such as confidentiality, transparency and solidarity. These principles and values are expressed in the Code of Ethics, developed in accordance with the regulations in force and which the players of the Banque Populaire Group adhere to in order to further strengthen the relationship of trust with our customers and external partners.

Financial security and sustainable development

In 2007, GBP began to apply the new provisions of Law No. 43-05 and of the supervisor’s regulations relating to the duty of care. Achievements in that regard mainly covered:
• adopting a policy relating to financial security and the fight against money-laundering;
• reinforcing arrangements for getting to know customers (KYC: know your customer);
• upgrading internal frames of reference relating to the activity of vigilance and diligence
• setting up reciprocity rules with foreign correspondents and fund-transfer intermediaries, also pursuant to the recommendations of the FATF (Financial Action Task Force);
• defining projects to develop the Group’s information system towards better knowledge of customers, their transactions, and their needs;
• working in consultation and co-operation with stakeholders;
• training and awareness-raising of all players.
The aim of the Group’s care arrangement is to make customer transactions, provide a better service to customers, and boost the market’s trust.
